Terms of Service
Terms of Service
Effective date: October 2026
These terms explain the ground rules for working with Loaded Nacho LLC (“Loaded Nacho,” “we,” “us”). They apply to loadednacho.com, the services we provide to clients, and the Mother Sauce client portal at mothersauce.app. “You” means the business or person using our site or services.
1. Accepting these terms
By using our website, signing a proposal or agreement with us, or signing in to Mother Sauce, you agree to these terms. If you’re agreeing on behalf of a business, you confirm you’re allowed to do so for that business.
If you have a signed proposal or service agreement with us, it works together with these terms. Where the two conflict, your signed agreement wins.
2. Our services
Depending on what you sign up for, we may provide:
- Website design, development and updates
- Website hosting and maintenance
- Social media content, campaigns and automations
- Reputation management, including review monitoring and responses
- Email marketing and newsletters
- Local marketing, listings and advertising
- Access to Mother Sauce, our restaurant management software
The exact scope, deliverables and timeline for your business are set out in your proposal or agreement. We may improve, change or retire features over time.
3. Results disclaimer
Marketing results depend on many things outside our control, including your market, competition, pricing, service, budget, seasonality and changes made by platforms like Google and Meta. Results vary by client. Any results, statistics, case studies or portfolio numbers shown on our site or in our materials (including figures marked with an asterisk) describe what specific clients saw. They are not a promise or guarantee that you will see the same or any particular result, ranking, review rating, follower count, traffic or revenue.
4. Your responsibilities
To do great work we need your help. You agree to:
- Give us accurate, complete and up-to-date information about your business, including menus, prices, hours and allergens.
- Only give us content you have the right to use, such as logos, photos, videos, text and trademarks, and confirm we may use it to provide the services.
- Review and approve work in a reasonable time. Once you approve something, or ask us to publish it, you are responsible for its content.
- Follow the laws that apply to your business, including advertising, email marketing, privacy and food labeling rules.
- Give us the access we need to the accounts and tools we manage for you.
5. Third-party platforms
Our work often connects to services run by other companies, such as point-of-sale systems (for example SpotOn, Toast or Square), Google, Meta (Facebook and Instagram), TikTok, delivery and ordering apps, email providers and hosting providers. Those services are governed by their own terms and policies.
We are not responsible for third-party outages, errors, fee or policy changes, algorithm changes, review removals, or actions they take on your accounts, such as suspensions or restrictions. Where we can, we’ll help you work through these issues.
6. Content and ownership
Your content. You keep ownership of the content you give us, such as your logos, photos and menu details. You give us permission to use, copy, edit and publish it as needed to provide the services, and to keep doing so while we work together.
Work we create for you. Unless your agreement says otherwise, once you have paid in full for a project you own the final, client-specific content we create for you, such as your site copy, custom graphics and published posts.
Our tools. We keep ownership of our own software, code libraries, templates, know-how and Mother Sauce, including improvements. Where these are part of your site, you get a license to use them for as long as you are a client in good standing.
Portfolio. We may show work we created for you, and general results, in our portfolio and marketing. We won’t share confidential information. Let us know if you’d like to opt out.
7. Payment and fees
Pricing, billing schedules, renewal terms and cancellation terms are set out in your proposal or agreement. Fees for work already completed are non-refundable; any other refund is only as stated in your signed proposal or agreement. If a payment is late, we may pause services until your account is current. Third-party costs, such as ad spend, domain fees and platform subscriptions, are your responsibility unless your agreement says otherwise.
8. Mother Sauce accounts and acceptable use
If you use Mother Sauce:
- Keep your sign-in details private, use the security features we offer, and only give access to people who should have it. You are responsible for activity under your accounts.
- Use it only for your own business and in line with the law.
- Don’t upload anything unlawful, infringing, misleading or harmful, and don’t send spam or messages without the consent the law requires.
- Don’t try to break, overload, reverse engineer or get around the security of the software, or access data that isn’t yours.
We may suspend access to protect the service, other clients or the public, or if these terms are broken. Where it’s reasonable, we’ll tell you first.
9. Availability and no warranty
We work hard to keep our websites and software running smoothly and securely, but we can’t promise they will always be available, uninterrupted or error-free. Maintenance, updates and problems at hosting or other providers can cause downtime.
Except as expressly stated in your signed agreement, our website, services and software are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent the law allows.
10. Limitation of liability
To the fullest extent the law allows:
- Loaded Nacho LLC is not liable for indirect, incidental, special, consequential or punitive damages, including lost profits, lost revenue, lost data, loss of goodwill or business interruption, even if we were told they were possible.
- Loaded Nacho LLC’s total liability for any claim related to our website, services or software is limited to the fees you paid us for the services in the three (3) months before the event that led to the claim.
Some laws don’t allow certain limits, so these apply only as far as the law permits. Nothing here limits liability that can’t be limited by law, such as for fraud.
11. Indemnification
You agree to defend and cover Loaded Nacho LLC and its owners, employees and contractors against claims, losses and costs (including reasonable legal fees) arising from content or information you supplied, your use of the services, your business’s products and operations, or your breach of these terms or the law.
12. Ending services
Either of us may end services as set out in your proposal or agreement. We may also suspend or end services if you seriously break these terms or don’t pay. When services end, you’ll pay for work done up to that point, your access to Mother Sauce and any hosted tools may end, and we’ll give you a reasonable chance to request a copy of your content. Sections that by their nature should continue, such as ownership, the results disclaimer, limitation of liability and indemnification, still apply after services end.
13. Governing law
These terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-law rules. Any dispute will be handled in the state or federal courts located in Oklahoma, unless we both agree otherwise.
14. Changes to these terms
We may update these terms from time to time. We’ll post the new version here and update the effective date. If a change is significant, we’ll make reasonable efforts to let active clients know. Continuing to use our site or services after a change means you accept the updated terms.
